We are frequently asked to assist with the establishment of a Jersey company or other more complex Jersey holding structures, whether to enable the acquisition of UK real estate, property or otherwise. We listen to and work with our clients (their administrator and other advisers) to establish the most appropriate holding structure for the client’s business needs, for example ensuring a Jersey entity has relevant constitutional documents, shareholder and joint venture agreements.
Mergers, Sales and Acquisitions
The team has significant transactional experience assisting with company mergers and with all elements of the buying and selling of companies or the business assets of such companies.
The scope of such advice and our assistance will often extend to the team dealing with any and all relevant banking / financing arrangements that may be required or have previously been put in place.

We are frequently requested to provide legal opinions on Jersey company/entities capacity and their execution of foreign law documents. Such requests may, for example, be in connection with an acquisition; bank/ financing arrangement; or as a result of a Jersey property holding entity granting a third party a lease of some UK commercial property.
The team has extensive experience in advising London main market listed and AIM companies upon cashbox transactions in connection with such companies placings, placing and open offers, rights issues, their issue of convertible bonds and/or those occurring as a result of some transactional activity.
